This Terms and Conditions describes Our policies and procedures on the collection, use and disclosure of Your information when You use the Terms and Conditions for Geo Digital Partners

1.1 Acceptance of Terms By using the services provided by Geo Digital Partners, including brand identity packages, website development, search engine optimization, and paid social media advertising, you agree to be bound by these terms and conditions.

“Geo Digital Partners”: Refers to the digital marketing agency providing the services. “Client” or “You”: Refers to the individual, company, or organization availing the services
.2.0 Terms and Conditions
2.1 Description of Services Geo Digital Partners offers brand identity packages, website development, search engine optimization, and paid social media advertising. The specific details and deliverables of the services will be outlined in the project proposal or agreement between Geo Digital Partners and the client.
2.2 Client Responsibilities The client agrees to provide Geo Digital Partners with the necessary information, access, and cooperation required to perform the services effectively. This includes timely provision of content, images, branding materials, and any other required resources.
3.0 Payments
3.1 Pricing and Payment Terms The pricing for the services will be agreed upon and outlined in the project proposal or agreement. Payments shall be made according to the agreed terms, including any deposit, milestone payments, or recurring payments. Geo Digital Partners reserves the right to suspend or end services for non-payment or delayed payments.
3.2 Additional Expenses Any additional expenses incurred during the course of providing the services, such as third-party tools, advertising costs, or stock images, will be borne by the client unless otherwise specified in the agreement.
4.0 Intellectual Property
4.1 Ownership Upon full payment for the services, the client will own the final deliverables, excluding any pre-existing intellectual property or third-party materials used in the project. Geo Digital Partners keeps the right to showcase the work as part of its portfolio and for promotional purposes, unless otherwise agreed.
4.2 Client’s Content and Intellectual Property The client represents and warrants that it has the necessary rights, licenses, and permissions to use any content, logos, trademarks, or intellectual property provided to Geo Digital Partners for the purposes of the project. The client grants Geo Digital Partners a non-exclusive license to use such materials solely for the purposes of providing the services.
5.0 Confidentiality
5.1 Non-Disclosure Both parties agree to keep confidential any proprietary or confidential information disclosed during the course of the project. This includes, but is not limited to, business strategies, customer data, financial information, and trade secrets.
6.0 Termination
6.1 Termination Clause Either party may terminate the agreement with written notice if the other party materially breaches any provision of these terms and conditions. Termination shall not relieve the client’s obligation to pay for services rendered up to the termination date.
7.0 Limitations of Liability
7.1 No Guarantees Geo Digital Partners will make best efforts to deliver the services as agreed upon, but does not guarantee specific results or outcomes. The client acknowledges that the effectiveness of digital marketing services can be influenced by various external factors beyond Geo Digital Partners’ control.
7.2 Indemnification The client agrees to indemnify and hold harmless Geo Digital Partners from any claims, damages, losses, or liabilities arising out of the client’s use of the services, including but not limited to any violations of applicable laws or infringement of third-party rights.
8.0 Governing Law and Jurisdiction
8.1 Applicable Law These terms and conditions shall be governed by and construed in accordance with the laws of Ontario, Canada.
8.2 Dispute Resolution Any disputes arising out of or relating to these terms and conditions shall be resolved through good-faith negotiations. If the dispute cannot be resolved amicably, it shall be referred to mediation or binding arbitration in accordance with the laws of Ontario, Canada.
9.0 General Provisions
9.1 Entire Agreement These terms and conditions constitute the entire agreement between Geo Digital Partners and the client and supersede any prior agreements, understandings, or representations.
9.2 Severability If any provision of these terms and conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
